DiPower Terms of Service

These Terms of Service (these "Terms") form an agreement between you and [to be provided] ("we", "us", "our") governing your access to and use of the DiPower official website at dipowerx.com (the "Site"). Please read them carefully before using the Site.

1. Acceptance of These Terms

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please stop using the Site. If you use the Site on behalf of a company or other legal entity, you represent and warrant that you are authorised to do so and that these Terms also bind that entity.

2. Licence to Use the Site and Restrictions

We grant you a limited, revocable, non-exclusive, and non-transferable licence to access the Site solely for the ordinary purpose of browsing and learning about our products. You agree not to:

  • use the Site in any unlawful, infringing, or misleading manner;
  • scrape, crawl, or bulk-download content, or place an unreasonable load on the Site by automated means;
  • attempt to gain unauthorised access to the Site, its underlying systems, or any third-party service;
  • interfere with, disable, or circumvent the Site's security and access controls;
  • introduce malicious code or engage in any conduct that harms us or any third party;
  • copy, modify, distribute, publicly communicate, or commercially exploit any content on the Site without our prior written permission, except as expressly permitted by these Terms.

We may restrict or terminate your access to the Site at our discretion if you breach these restrictions.

3. Intellectual Property

Unless stated otherwise, all content on the Site — including text, graphics, logos, product names (such as DiPowerEdge and DPE100), interface designs, icons, images, architecture diagrams, documentation, and software — is owned by us or the relevant rights holder and is protected by copyright, trademark, and other intellectual property laws.

You may not use our intellectual property in any way without our prior written consent. These Terms do not transfer any intellectual property to you; they grant only the limited licence set out in Section 2.

4. Product Information, Specification Changes, and Availability

Please pay particular attention to this Section.

  • Products are not yet finalised. Some specifications, features, appearance, certification status, and compatibility of the products shown on the Site (including, without limitation, DPE100 and future models under the DiPowerEdge brand) may not be final or may still be under development, testing, and validation.
  • Specifications are subject to change. We reserve the right to change, improve, or discontinue product specifications, features, configurations, supported protocols, firmware behaviour, certifications, and availability at any time and without prior notice. The specifications actually delivered shall be those set out in the contract or order finally signed by the parties, or in the confirmed product datasheet.
  • Information is not an offer. Content on the Site is provided for general information only and does not constitute a binding offer, commitment, or warranty. Any quotation, delivery date, certification, or compatibility commitment is valid only when confirmed by us in writing.
  • Illustrative materials. Images, renders, architecture diagrams, and illustrations on the Site are for demonstration purposes and may differ from the actual product.
  • Availability. We do not warrant that the Site, or any of its features, links, downloads, or third-party services, will be available, uninterrupted, or error-free, and we may suspend, modify, or discontinue the Site or any part of it at any time.

5. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and its content are provided "as is" and "as available", and we make no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or timeliness.

We do not warrant that: content on the Site is accurate, complete, or current; access will be uninterrupted or error-free; defects will be corrected; or the Site is free of viruses or other harmful components. You use the Site, and rely on its content, at your own risk.

Nothing in this Section excludes or limits any warranty or liability that cannot be excluded or limited under applicable law.

6. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including loss of profits, data, or goodwill) arising out of or relating to your use of, or inability to use, the Site, or your reliance on its content, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability to you under these Terms or in connection with the Site shall be limited to [to be provided]. If applicable law does not permit the foregoing limitation, it shall apply to the fullest extent permitted.

This Section does not apply to damage caused by our wilful misconduct or gross negligence, or to liability that cannot be limited or excluded by law (such as for personal injury).

7. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources (including, without limitation, third-party form, analytics, and hosting/CDN services). Such links are provided for convenience only. We are not responsible for the accuracy, legality, security, or availability of third-party content, nor for their privacy practices. You access third-party services at your own risk and should review their terms and privacy policies.

8. Indemnity

You agree to indemnify, defend, and hold us harmless from and against any claims, actions, or demands made by any third party (including reasonable legal fees) arising out of your breach of these Terms, your violation of law, or your infringement of any third-party rights.

9. Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Site, shall be governed by and construed in accordance with the laws of [to be provided], without regard to its conflict-of-law rules.

The parties shall first seek to resolve any such dispute through friendly negotiation. If no resolution is reached, either party may submit the dispute to the competent courts of [to be provided], namely [to be provided].

If you are a consumer in the European Union, this Section does not affect any mandatory consumer protection rights you enjoy under the law of your country of residence.

10. Changes to These Terms

We may update these Terms at any time. The updated Terms will be posted on the Site with a new "Last updated" date, and we will give reasonable notice of material changes. Your continued use of the Site after the effective date of a change constitutes acceptance of the updated Terms.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to reflect the parties' original intent.
